SERVICE AGREEMENT

Disclaimer of Hosting Fees; Warranties; Limitation of Liability; Indemnity; Term and Termination

IPSTUDIO assumes you have permission from the rightful owner to use any content that is provided by you for inclusion in IPSTUDIO products and services, and will hold harmless, protect, and defend IPSTUDIO and its owners from any claim or suit arising from the use of such elements.

IPSTUDIO retains the right to display graphics and other web content elements as examples of their work in their portfolio and as content features in other projects. IPSTUDIO also retains the right to place their logo and link at the bottom of the website page(s).

The agreement contained in this contract constitutes the sole agreement between you and IPSTUDIO regarding all items included in this agreement. Additional work is billed at the standard $95/hr rate. The price contained in this proposal is valid for 30 days from submission. The terms of this contract are subject to ipstudio.co/terms

SERVICE LEVEL AGREEMENT (SLA)

This agreement describes the standard level of service that all Clients can expect from IPSTUDIO. It attempts to quantify the levels of service that all Clients can expect, and the remedies we offer if we fail to provide service at those levels. This SLA is valid for the duration of IPSTUDIO you service, beginning on the date in which this document is signed by the client.

RESPONSE TIMES

Support, unless noted otherwise in a supplementary service level agreement, technical support is provided by IPSTUDIO on a first-come, first-served “best effort” basis (With the exception being emergency maintenance). We aim to at least acknowledge, if not fully answer, all emails to our advertised support address (support@ipstudio.co) within 4 working hours. We aim to answer the phones during working hours, but under times of high demand or staff sickness/emergencies, we may defer to an answering service where we promise to return all messages as soon as possible.

INVOICING

Invoices for IPSTUDIO services, additional fees, or hosting fees will be sent automatically at the time of renewal, or at the 1st of each month (Depending on a determined payment plan).

NO WARRANTIES

Insight Progressive LLC’s products/services and all related components and in you on are provided on an “as is” and “as available” basis without any warranties of any kind, and Insight Progressive LLC expressly disclaims any and all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, title, for a particular purpose, and non-infringement. You acknowledge that Insight Progressive LLC does not warrant that Insight Progressive LLC’s products/services will be uninterrupted, timely, secure, error-free or virus- free, nor does it make any warranty as to the results that may be obtained from use of Insight Progressive LLC’s products/services, or advice obtained by you from Insight Progressive LLC or through the Insight Progressive LLC website shall create any warranty not expressly stated in this proposal.

LIMITATION OF LIABILITY

Under no circumstances and under no legal theory (whether in contract, tort, or otherwise) shall Insight Progressive LLC be liable to you or any third party for any indirect, incidental, special, exemplary, consequential or punitive damages, including lost sales or business, lost data, or any matter beyond our reasonable control. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. In these jurisdictions, Insight Progressive LLC’s liability will be limited to the greatest extent permitted by law.

INDEMNITY

You agree to defend, hold harmless and indemnify Insight Progressive LLC, and its subsidiaries, affiliates, officers, agents, employees, and suppliers, from and against any third party claim arising from or in any way related to your or your users’ use of Insight Progressive LLC’s products/services or data, use of Insight Progressive LLC’s brand, or violation of this proposal, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, we will provide you with written notice of such claim, suit, or action.

TERM AND TERMINATION

The proposal will go into effect on the date upon which you agree to it, or by accessing or using Insight Progressive LLC’s products/services, and will continue until terminated as set forth herein. You may terminate the agreements made in this proposal through the delivery of an Official Notice of Discontinuation. An Official Notice of Discontinuation must be delivered in writing via email transmission to all party’s respective email addresses, as well as support@ipstudio.co, at least 7 days prior to the requested termination date. Once terminated, a final bill will be sent equating to a prorated value that will be calculated as the monthly rate stated in this proposal, times the quotient of the number of days active during your final billing cycle, divided by the total number of days in a billing cycle. Additionally, once terminated, an off-boarding process will commence that includes the removal of any IPSTUDIO hosted products in association with this proposal from the Client's possession. Finally, Insight Progressive LLC may change, suspend or discontinue its products/services for any reason, without notice. Without limiting the foregoing, we may limit your access to IPSTUDIO’s products/services, should we believe your use of our products/services negatively affects our ability to operate or sustain a profitable business.
